Terms of Service

These Terms of Service ("Terms") govern your access to and use of RosterPro ("the Service"), operated by AI Adaptive Technologies (ABN to be confirmed) ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

RosterPro is a cloud-based staff scheduling platform designed for small teams in dental practices, retail, hospitality, and similar industries. The Service includes roster generation, timeclock tracking, availability management, leave requests, reporting, and optional payroll integrations.

2. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

When you create an organisation within RosterPro, you become the organisation owner and are responsible for managing staff access, roles, and permissions within that organisation.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to the Service, other accounts, or any related systems or networks.
• Transmit any malware, viruses, or other harmful code through the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Scrape, data-mine, or extract data from the Service through automated means without our prior written consent.
• Resell, sublicense, or redistribute access to the Service without authorisation.

4. Data Ownership

You retain full ownership of all data you submit to the Service, including staff information, schedules, timeclock entries, and organisational settings ("Your Data"). We do not claim any ownership rights over Your Data.

You grant us a limited licence to process, store, and transmit Your Data solely for the purpose of providing and improving the Service. We will not sell, share, or use Your Data for advertising or unrelated purposes.

You may request export or deletion of Your Data at any time. See our Privacy Policy for details.

5. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. We may perform scheduled maintenance, during which the Service may be temporarily unavailable.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

6. Fees and Payment

RosterPro may offer free and paid plans. Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable unless otherwise stated or required by Australian Consumer Law.

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

The Service, including its design, code, features, and documentation, is the intellectual property of AI Adaptive Technologies. Nothing in these Terms transfers any intellectual property rights to you beyond the limited right to use the Service in accordance with these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, AI Adaptive Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

9. Indemnification

You agree to indemnify and hold harmless AI Adaptive Technologies, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

You may terminate your account at any time through the Settings page within the Service. Upon termination, your access to the Service will cease, and we will delete your data in accordance with our Privacy Policy.

We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if required by law. Where practicable, we will provide notice before termination.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
